The Scenario Nobody Wants to Talk About
If your Hudson Valley accounting firm serves individual tax clients, the NY SHIELD Act applies the moment you collect a Social Security number paired with a name. That has been true since 2020. What changed this year is that your staff started pasting client data into AI tools to draft engagement letters, summarize financial documents, and generate tax planning memos. Nobody told them not to, because nobody wrote a policy. And now that data lives somewhere you cannot map, in a system you do not control, under terms of service your firm never reviewed.
This is not a hypothetical built for a conference slide deck. It is Monday morning at a twenty-person professional services firm in Poughkeepsie, or a medical billing company in Kingston, or a real estate office in Newburgh. The staff member who pasted a client's W-2 data into ChatGPT did not act with malice. They acted without guidance, and that gap between intent and governance is exactly where breach liability takes root.
The problem is that most Hudson Valley SMBs have no documentation whatsoever for how AI tools interact with private information. No inventory of which tools employees use. No record of what data categories enter those tools. No assessment of where that data lands or how long it persists. When the New York Attorney General comes asking what "reasonable safeguards" your firm had in place, the answer cannot be silence.
The good news is that two frameworks, one federal and one state, fit together cleanly enough that a small business can build a single documentation set that addresses both. The NIST AI Risk Management Framework gives you the structure. The NY SHIELD Act tells you the legal floor. Here is how to put them together without hiring a Big Four consultant or losing a month of billable hours.
NIST AI RMF 1.0: Four Functions Scaled for a Small Business
The NIST AI Risk Management Framework, published in January 2023, organizes AI risk management into four functions: Govern, Map, Measure, and Manage. Large enterprises build entire departments around these functions. An SMB does not need to do that. What an SMB needs is to touch each function with enough rigor that the resulting documentation demonstrates deliberate, informed decision-making about AI risk.
Govern: Who Decides What AI Your Firm Uses
The Govern function asks a blunt question: who in your organization is accountable for AI-related risk decisions? For a firm of ten to fifty people, the answer is probably the owner or managing partner, supported by whoever handles IT. The documentation requirement here is not complex. You need a written AI acceptable use policy that names the person responsible for approving AI tools, defines which categories of data may and may not be entered into AI systems, and establishes a review cadence. Quarterly is reasonable. Annual is the bare minimum. The policy should be signed by every employee, the same way you handle your general acceptable use policy or your HIPAA acknowledgment if you operate in healthcare.
Under Govern, you should also document the rationale for each AI tool your firm has approved. If you use Microsoft Copilot because it operates within your existing Microsoft 365 tenant and your data stays within your contractual boundary, write that down. If you prohibit the free tier of ChatGPT because OpenAI's terms allow training on free-tier inputs, write that down too. The point is to show that the decision was considered, not accidental.
Map: Where Private Information Meets AI
The Map function is where most SMBs have the largest gap and, not coincidentally, where the NY SHIELD Act creates the most exposure. Mapping means identifying the AI systems in use across your organization, cataloging the data types that flow into those systems, recording where that data is processed and stored, and noting which third parties have access to it.
For a Hudson Valley law firm, this might reveal that attorneys use an AI-powered legal research tool that processes case summaries containing client names and case details. For a medical billing company, it might reveal that staff paste explanation-of-benefits documents into a general-purpose AI to resolve coding discrepancies. Each of these data flows represents a node where private information leaves your controlled environment and enters a system with its own retention policies, security posture, and jurisdictional exposure.
The mapping exercise does not need to be sophisticated. A spreadsheet works. What matters is that it exists, that it is current, and that it covers every AI tool in use, including the ones employees adopted on their own without asking permission. Shadow AI is not a buzzword. It is the tool your office manager started using in March to rewrite client emails, and it now has six months of correspondence flowing through a vendor you have never vetted.
Measure and Manage: Testing and Responding
The Measure function asks you to evaluate the risks you identified during mapping. For an SMB, this does not require a quantitative risk model. It requires an honest assessment: for each AI data flow, what is the worst realistic outcome if that data is exposed, and how likely is that outcome given the vendor's security posture? A tool that processes Social Security numbers through a vendor with no SOC 2 report and no data processing agreement is a different risk than a tool that processes anonymized marketing copy through an enterprise-grade platform with contractual deletion guarantees.
The Manage function translates those assessments into actions. Some data flows will be acceptable as-is. Some will need controls added, like stripping personally identifiable information before pasting text into an AI tool. Some will need to be eliminated entirely. The management decisions should be documented alongside the risk assessments, creating a clear chain from "we identified this risk" to "we decided to handle it this way" to "here is the evidence that we followed through."
NY SHIELD Act: What "Reasonable Safeguards" Means When AI Is Involved
The Stop Hacks and Improve Electronic Data Security Act requires any person or business that owns or licenses computerized data containing the private information of a New York resident to implement and maintain "reasonable safeguards" to protect that data. The statute does not define "reasonable" with a checklist. Instead, it requires safeguards that are appropriate to the size and complexity of the business, the nature and scope of its activities, and the sensitivity of the information it collects.
The SHIELD Act specifies three categories of safeguards: administrative, technical, and physical. AI data flows touch all three, but they hit administrative safeguards hardest. Administrative safeguards under SHIELD include designating an employee to coordinate security, identifying reasonably foreseeable risks, assessing the sufficiency of existing safeguards against those risks, training employees, and selecting service providers capable of maintaining appropriate safeguards while requiring those safeguards by contract.
Read that list again with AI in mind. Have you identified AI data flows as a reasonably foreseeable risk? Have you assessed whether your current safeguards address the possibility that private information entered into an AI tool could be exposed through a vendor breach, through model training, or through another user's prompt? Have you trained employees on what data they may and may not enter into AI systems? Have you reviewed the data processing terms of every AI vendor your staff uses? If the answer to any of these questions is no, your safeguards are not reasonable, and the AG's office has the enforcement authority to say so.
Building the AI Data Flow Diagram Your Firm Actually Needs
Every AI data flow in your organization follows the same basic path, and your documentation should capture each stage. The diagram does not need to be a Visio masterpiece. It needs to be accurate, dated, and reviewed at least quarterly.
What Goes In
Start with the input stage. For every approved AI tool, document the data categories that employees are permitted to enter. Be specific. "Client financial data" is too vague. "Client names, SSNs, W-2 wage data, and 1099 income amounts" is what you need. Then document the data categories that employees are prohibited from entering, and make sure the prohibition is enforceable through technical controls where possible and through policy acknowledgment where technical controls are not available. The input inventory should reference specific job functions. Your bookkeeper and your managing partner do not use AI tools the same way, and the risk profile differs accordingly.
What the Model Sees
Next, document the processing stage. This requires reading your AI vendors' terms of service, privacy policies, and data processing agreements. The questions that matter are whether the vendor uses input data for model training, whether inputs are stored and for how long, whether the vendor's employees or subprocessors can access your inputs, and in which jurisdictions processing occurs. For tools like Microsoft Copilot operating within your M365 tenant, the answers are generally favorable and well-documented. For free-tier consumer AI tools, the answers are often unfavorable, vague, or both.
What Comes Out and Where It Lives
Finally, document the output stage. AI-generated content often gets saved into your document management system, emailed to clients, or stored in local files. Track where AI outputs land, because those outputs may contain or reflect private information from the inputs. If your staff generates a tax planning memo using AI and saves it to a shared drive, that memo is now part of your data inventory, subject to your retention policies and your breach response obligations. Output documentation should also note whether any AI-generated content is shared externally with clients or counterparties, since that creates additional exposure if the output inadvertently contains private information from a different client's input session.
Evidence Pack: What to Have Ready Before You Need It

NY AG Enforcement: What Triggers an Investigation
The New York Attorney General's Bureau of Internet and Technology has been active on data security enforcement since the SHIELD Act took effect. The AG's office does not typically investigate businesses proactively for AI-specific issues, at least not yet. What triggers an investigation is a breach report. Under the SHIELD Act, any business that experiences a breach of private information affecting a New York resident must notify the AG's office. Once that notification arrives, the investigation examines what safeguards were in place before the breach, not what the business scrambled to implement afterward.
The pattern in recent enforcement actions is consistent. The AG's office looks for evidence that the business identified foreseeable risks, implemented safeguards proportional to those risks, trained employees, and managed vendor relationships with appropriate contractual protections. Businesses that can produce dated, version-controlled documentation of these activities fare better than businesses that cannot. Businesses that have no documentation at all face the steepest penalties and the most public settlements.
For AI-related exposure specifically, the risk is compounding. As more employees use AI tools that process private information, the probability of an incident involving those tools increases. A vendor breach at an AI provider that stored your clients' data, an employee who accidentally shares a prompt history containing sensitive information, a misconfigured API integration that exposes input logs: each of these scenarios triggers SHIELD Act notification obligations if private information was compromised. When the AG's office comes calling after that notification, the question will be simple. Did you know your employees were putting private information into AI tools, and what did you do about it?
The documentation set described in this article is your answer to that question. It demonstrates that you identified AI data flows as a risk, mapped the specific exposure, assessed the severity, implemented controls, trained your staff, vetted your vendors, and prepared for the possibility that something would go wrong despite your precautions. That is the definition of reasonable safeguards. Not perfection. Demonstrated diligence.
Where to Start This Week

Start with the AI data flow inventory. Send a brief survey to every employee asking which AI tools they use, what types of work they use them for, and whether they have ever entered client or customer data into those tools. From there, draft the AI acceptable use policy. It does not need to be long. Once the policy exists and employees have signed it, you have Govern covered at a basic level and you have satisfied the SHIELD Act requirement for employee training on security practices.
